Engineering Due DiligenceWhat is Engineering Due Diligence?• A process for risk abatement in business acquisitions, partnerships, revenue sharing, and joint engineering programs• Engineering capability assessment• Engineering knowledge assessment• Not necessarily a legal activityDue diligence, traditionally defined, is a comprehensive appraisal of a business undertaken by a prospective buyer, especially to establish its assets and liabilities and evaluate its commercial potential. As more companies strive to work together on joint projects or pool their technical resources to accomplish a common goal, due diligence takes on a broader definition.
For two entities to make the best use of each other’s capabilities and technical resources, both must know how they compare to each other and if their joint resources add up to a sum greater than the individual capabilities. Also, in many cases, one company is the knowledge leader and the other is a “wannabe” who wants to team with the industry leader to gain a better position in the industry. In this scenario, the industry leader needs to find out if the potential “partner” has the knowledge, tools, and technical capabilities to deliver their end of the bargain. In this scenario, at Experium, we look for what the entity being assessed knows, does not know, and most importantly, what they don’t know they don’t know. Our assessment addresses people, their expertise and knowledge, tools, facilities, practices, and analytical methods.
Engineering due diligence is a process that, if well executed, educates both parties in a way that ultimately determines what each can bring to the project, partnership, acquisition, or other relationship. And it does it in such a way that both parties can avoid disenfranchisement…especially the entity being assessed.
At Experium, we have the experience and knowledge to conduct engineering capability assessment in a due diligence environment.
